1. Parties and Acceptance of Terms

These Terms of Use (the “Terms”) govern the access to and use of the website https://jolders.com and any related platforms, applications, dashboards, APIs, and services (collectively, the “Platform”), operated by SOROS LABS LLC, a Delaware Limited Liability Company, EIN 61-2181607, with registered office at 8 THE GREEN STE B, DOVER, DELAWARE 19901, registered before the Internal Revenue Service, acting under the trade name “JOLDERS” (hereinafter, “JOLDERS”, “we”, “us”, or “our”).

By accessing or using the Platform in any manner, including, without limitation, visiting or browsing the site, creating an account, submitting data, or using any of the services, you (“User” or “you”) acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, you must immediately discontinue any use of the Platform.

2. Nature of the Services

JOLDERS provides an AI-enabled software-as-a-service platform designed primarily for organizations such as accelerators, incubators, venture capital funds, angel networks, universities, innovation programs, and similar institutions (“Organizations”), as well as, on a secondary basis, for startup founders, teams, and companies (“Startups”). The Platform supports the analysis, scoring, structuring, organization, and visualization of information related to startups, applications, and innovation projects (collectively, the “Services”).

The Services may include, without limitation: (i) ingestion and processing of forms, pitch decks and related materials; (ii) automated or semi-automated scoring and evaluation using artificial intelligence or algorithmic models; (iii) dashboards and analytics; (iv) feedback and summaries; and (v) tools for internal workflows, collaboration, tagging, and decision support.

Under no circumstance shall any output, score, label, recommendation, summary, classification, or other information generated by or via the Platform be construed as investment advice, financial advice, legal advice, tax advice, or any kind of regulated advisory service. The Services are provided strictly as informational, experimental and decision-support tools for Users, who remain exclusively responsible for any decisions they make.

3. Eligibility

By using the Platform, you represent and warrant that:

  • You are at least eighteen (18) years of age or the legal age of majority in your jurisdiction;
  • You have full legal capacity and authority to enter into these Terms;
  • If you are acting on behalf of an Organization, you are duly authorized to bind such Organization to these Terms;
  • You are not subject to any sanctions, restrictions, or prohibitions under applicable law that would prevent you from using the Platform;
  • You are not located in, nor using the Services from, any jurisdiction where such use is prohibited by law.

4. User Accounts and Access

To access certain features, you may be required to register and create an account (“Account”). You agree to provide true, accurate, current, and complete information during the registration process and to maintain such information up to date.

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities occurring under your Account;
  • Immediately notifying JOLDERS of any unauthorized use or suspected breach.

JOLDERS may, in its sole discretion and without prior notice, suspend, restrict, or terminate any Account or access to the Platform for any reason, including, but not limited to, violation of these Terms or applicable law.

5. License and Intellectual Property

Subject to your ongoing compliance with these Terms and payment of applicable fees, JOLDERS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for legitimate business or internal purposes related to startup evaluation or self-assessment.

All rights, title, and interest in and to the Platform, including, without limitation, its software, source code, architecture, design, algorithms, models, AI prompts, text, graphics, logos, trademarks, service marks, trade names, interfaces, and any related intellectual property (collectively, the “JOLDERS IP”), are and shall remain the exclusive property of JOLDERS or its licensors. No rights are granted to you other than those expressly set forth in these Terms.

You shall not, directly or indirectly:

  • Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or JOLDERS IP;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas;
  • Remove, obscure, or alter any proprietary notices or labels;
  • Use any automated tools to scrape, harvest, or extract data in violation of these Terms.

6. User Data and Content

You may submit data, content, materials, documents, forms, metrics, or other information to or through the Platform (“User Content”). You represent and warrant that you have all necessary rights, licenses, and permissions to provide such User Content and that such User Content does not infringe any third-party rights or violate any law.

By submitting User Content, you grant JOLDERS a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable license to host, store, process, reproduce, analyze, transform, display, and otherwise use the User Content solely for the purposes of providing, operating, improving, securing, and supporting the Platform and the Services.

JOLDERS may, in its discretion, use anonymized and aggregated data derived from User Content and usage patterns for analytics, benchmarking, product improvement, and research, provided that such data does not identify you or any specific Startup or Organization in a personally identifiable manner.

7. No Investment, Financial or Legal Advice

The Platform, the Services, AI-generated scores, categorizations, labels, traffic light indicators, ratings, heatmaps, written outputs, or any other information made available by JOLDERS are for informational and internal decision-support purposes only and do not constitute investment advice, financial advice, legal advice, tax advice, or any recommendation to buy, sell, hold, invest in, or otherwise transact in any security, token, asset, or company.

JOLDERS does not act and shall not be deemed to act as an investment advisor, broker-dealer, financial institution, placement agent, crowdfunding platform, exchange, marketplace, or any other regulated entity. No fiduciary, advisory, or agency relationship is created between JOLDERS and any User.

Any decision to invest, not invest, accept, reject, accelerate, fund, incubate, or otherwise engage with any Startup is made solely and entirely at the User’s own risk and discretion, and Users must conduct their own independent due diligence and seek professional advice where appropriate.

8. Artificial Intelligence and Limitations

The Platform may use artificial intelligence models, machine learning, algorithmic scoring, or other automated tools that are inherently probabilistic and may generate inaccurate, incomplete, biased, or inappropriate outputs.

JOLDERS does not warrant and expressly disclaims any representation that AI-generated content or outputs are correct, complete, accurate, unbiased, or suitable for any particular purpose. You are solely responsible for reviewing, validating, and deciding whether and how to use any such outputs.

9. Acceptable Use

You agree not to use the Platform:

  • For any unlawful, fraudulent, or malicious purpose;
  • To violate any applicable law or regulation, including securities, AML/CFT, or sanctions laws;
  • To infringe, misappropriate, or violate the rights of JOLDERS or any third party;
  • To send, upload, or distribute any harmful code, viruses, or malware;
  • To attempt to gain unauthorized access to any systems, networks, or data;
  • To benchmark, compete unfairly, or build a competing product using the Platform;
  • In any manner that could damage, disable, overburden, or impair the Platform.

10. Fees and Payments

Access to certain features may require payment of subscription fees, per-evaluation fees, one-time fees, or other charges (“Fees”). By subscribing or purchasing Services, you agree to pay all applicable Fees in accordance with the pricing and billing terms displayed on the Platform or agreed in writing.

Unless expressly stated otherwise, all Fees are non-refundable. JOLDERS may modify pricing and fee structures at any time, upon prior notice to Users where required by law or contract.

11. Third-Party Services and Links

The Platform may integrate with, depend on, or provide links to third-party services or websites (such as form providers, CRMs, cloud storage, or analytics tools). JOLDERS does not control and is not responsible for such third-party services, which are governed by their own terms and policies.

JOLDERS shall not be liable for any damage, loss, or claim arising from your use of, or reliance on, any third-party service, integration or website.

12. Disclaimers of Warranties

To the maximum extent permitted by applicable law, the Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

JOLDERS explicitly disclaims any and all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties regarding availability, uptime, security, or error-free operation;
  • Warranties that any results, scores, outputs, or decisions will be accurate, reliable, or profitable;
  • Warranties that the Platform will meet your requirements or expectations.

13. Limitation of Liability

To the fullest extent permitted by law, in no event shall JOLDERS, its affiliates, members, managers, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenues, data, business opportunities, or goodwill, arising out of or in connection with the use of or inability to use the Platform or the Services, even if JOLDERS has been advised of the possibility of such damages.

To the maximum extent permitted by law, JOLDERS’ total aggregate liability arising out of or relating to these Terms, the Platform, or the Services shall be limited to the greater of: (i) one hundred U.S. dollars (USD 100); or (ii) the total amount of Fees actually paid by you to JOLDERS in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow limitations of liability to this extent; in such cases, the above limitations shall apply to the maximum extent permitted by applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless JOLDERS and its affiliates, members, managers, officers, employees, contractors, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Platform or Services;
  • Your violation of these Terms or any applicable law;
  • Your User Content, including any infringement or violation of third-party rights;
  • Any decision, transaction, investment, acceptance, rejection, or omission undertaken by you based on any output of the Platform.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services shall be finally resolved by binding arbitration administered in English under the rules of an arbitration institution selected by JOLDERS, seated in the State of Delaware, USA. The arbitral decision shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.

To the fullest extent permitted by law, you waive any right to participate in a class action, class arbitration, or representative proceeding against JOLDERS, and agree to resolve disputes solely on an individual basis.

16. Changes to the Terms

JOLDERS may modify these Terms at any time. Updated versions will be posted on https://jolders.com and will be effective as of the date indicated as “Last updated”. Continued use of the Platform after any such modification constitutes your acceptance of the updated Terms.

17. Termination

JOLDERS may terminate or suspend your access to the Platform, with or without cause, immediately and without prior notice. Upon termination, your right to use the Platform shall cease, but all provisions that by their nature should survive termination (including, without limitation, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall remain in full force and effect.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any right or provision shall be deemed a further or continuing waiver of such right or any other provision. You may not assign these Terms without JOLDERS’ prior written consent. JOLDERS may assign or transfer its rights and obligations under these Terms freely.
